# Terms of Service

These Terms of Service (“Terms”) apply when you (“User,” “you,” “your”) use the services of AgentX Inc. (together with our affiliates, “AgentX,” “Company,” “we,” “us,” “our”), including Company API, Widget, Website, software, tools, developer services, data, and documentation (collectively, the “Service”). The Terms include other documentation, guidelines, or policies we may provide in writing. By using our Service, You agree to these Terms. These Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity, and AgentX Inc., concerning your access to and use of the Service. You must be at least 13 years old to use the Service. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Service. If You are a minor, you must have Your parent or guardian read and agree to these Terms prior to You using the Service.

By using the Service, you represent and warrant that your age and legal capacity enable you to enter into an agreement with the Company and you have the right to act on behalf of the entity which you represent, if applicable. You agree that by accessing the Service, you have read, understood, and agreed to be bound by all of these Terms and represent and warrant that your declarations are effective. **2. Definitions**  
Unless otherwise indicated, the following capitalized terms have the following meaning:
- **Account** – individualized panel for exploiting the Service.
- **Company API** – Company’s application programming interface, which may be integrated with the User’s software platform.
- **Content** – contents such as text, picture, audio, video, and others, published, presented, or transmitted through the Service.
- **Device** – devices such as a computer, telephone, smartphone, tablet or other electronic equipment, including Mobile Device.
- **External API** – application programming interface from an entity other than the Company.
- **Intellectual Property** – all data, files, documents, summaries, reports, and other materials created or provided by the Company, including any Intellectual Property Rights.
- **Marks** – trademarks, service marks, logos, and other identifiers.
- **Mobile Device** – a portable device such as a telephone or tablet.
- **Other Websites** – websites not owned or controlled by the Company.
- **Password** – an anonymized verification tool enabling access to the Account.
- **Privacy Policy** – describes personal data processing rules by the Company.
- **Service** – Company’s various services, including API, Widget, and software.
- **Terms** – the terms of service.
- **User** – a person or entity that uses at least a part of the Service.

- **Widget** – Company’s widget usable on User’s software platform.

Definitions retain their meaning regardless of singular or plural expression.

**3. General Rules**  
You shall not use the Service in any way that violates applicable law or regulation. The information through the Service is not intended for distribution where it would be illegal. Users accessing the Service are responsible for compliance with local laws.

**4. Account**  
You may set up an Account with the Company requiring information such as email and Password. You agree to provide accurate and complete information.

**5. Communications**  
By creating an Account, you agree that we may send you messages regarding your Account’s security, updates, and marketing materials. You may reply “Opt Out” to stop such communications.

**6. Promotions**  
Promotions on the Service may have additional separate rules. Review and follow the rules when participating in promotions.

**7. Subscriptions**  
Some Service parts may be billed on a subscription basis. Your subscription shall automatically renew unless you cancel. Valid payment methods are required for processing payments.

**8. Credits**  
Access to certain Service features is based on a credit system, where credits correspond to usage. Credits are non-transferable and expire at the end of the billing cycle.

**9. Fee Changes**  
The Company may modify subscription fees, effective at the end of the current billing cycle.

**10. Refunds**  
Subscription fees are non-refundable unless required by law.

**11. Content**  
Users may create, submit, and transmit Content through the Service. By doing so, Users grant the Company rights to use such Content extensively. You warrant that your Content complies with the Terms.

**12. Prohibited Uses**  
You may use the Service for lawful purposes only, and you agree not to engage in actions that violate rights or laws.

**13. Third-Party Service Providers**  
We may use third-party service providers to process data related to your usage of the Service.

**14. Intellectual Property**  
The Company owns all Intellectual Properties related to the Service. Users do not acquire any Intellectual Property rights from the use of the Service.

**15. Intellectual Property Dispute Policy**  
The Company will respond to proper takedown notices for content infringement.

**16. User Feedback**  
You may provide feedback to the Company, and by doing so, you assign ownership of the feedback to the Company.

**17. Links to Other Websites**  
Service may contain links to Other Websites; the Company is not responsible for the content or policies of these sites.

**18. Disclaimer**  
The Service is provided on an “as is” basis, and the Company makes no warranties of any kind regarding the Service.

**19. Limitation of Liability**  
The Company shall not be liable for any loss or damage arising from the usage of the Service under permitted legal limits.

**20. The User’s Liability**  
The User is fully liable for any unauthorized content distribution via their Account.

**21. Service Breaks**  
The Company does not guarantee continuous service availability and may schedule or experience breaks in service.

**22. Personal Data Protection and Security**  
The Company processes personal data by the Privacy Policy standards.

**23. Termination**  
The Company may terminate access to the Service at its discretion for any reason.

**24. Governing Law**  
These Terms are governed by the laws of the State of California.

**25. Changes To Service**  
The Company reserves rights to change the Service without prior notice.

**26. Indemnification**  
Users agree to indemnify the Company against any liabilities arising from their use of the Service.

**27. Dispute Resolution**  
Disputes must be arbitrated in San Francisco, California, according to specified rules.

**28. Waiver And Severability**  
No waiver of any Terms will be considered a further waiver of such terms, and invalid provisions remain effective.

**29. Miscellaneous**  
You may not assign rights under these Terms without consent. The Company may assign its rights freely.
